Prof. dr hab. Adam Opalski

• Professor of legal sciences and head of the Department of International Private and Commercial Law at the Faculty of Law and Administration, University of Warsaw.
• Expert in commercial law, private international law and civil law.
• Specialist in company law focusing on corporate finance, corporate governance, corporate restructuring and international and European company law.
• Academic editor and co-author of a leading commentary on the Code of Commercial Companies, co-author of the parts of the "Private Law System" concerning commercial companies. Author of over 100 academic publications, including monographs on company groups, European company law, supervisory boards of joint-stock companies and the institution of share capital.
• Advises on mergers and acquisitions, company restructuring and corporate disputes, supports companies in preparing initial public offerings (IPOs) and raising financing.
• Co-author of amendments to the Code of Commercial Companies dealing with simple joint-stock companies, cross-border company mergers, reform of general meetings of joint-stock companies, reform of share capital of joint-stock companies, and of amendments to the Civil Code concerning commercial proxies.
• Member of working groups: European Company Law Experts (2016 to date), European Model Company Act (2013 to date) and European Commission Informal Expert Group on Company Law and Corporate Governance (2020 to date).
• Deputy chairman of a team attached to the Minister of Development dealing with the preparation of draft regulations on simple joint-stock companies (2016-2018), member of the Civil Law Codification Commission team attached to the Minister of Justice dealing with the reform of company law (2006-2015).
• Member of the Warsaw Bar Association of Attorneys-at-Law.
