Sale of PLL LOT subsidiary

Domański Zakrzewski Palinka provided legal advice to Polskie Linie Lotnicze LOT S.A. on the sale of shares in a subsidiary, Petrolot Sp. z o.o. Petrolot provides aircraft fuelling services at 12 Polish commercial and flying club airports and it is the largest company providing services of this type in Poland. The share sale was part of PLL LOT's company restructuring strategy.

Our advice involved full-range legal assistance with, e.g. drawing up transaction documentation, including documentation for a bridging loan extended to PLL LOT and for establishing loan security, negotiations, preparing documents to obtain the required corporate consents and adapting the transaction strategy to the dynamic situation of airlines. The transaction value was several million zloty.
