Practice:
Domanski Zakrzewski Palinka has advised Pureprofile, a market research company in the online marketing sector, on the acquisition of Sparc Media, an international online and Trading Desk advertising agency. DZP coordinated the transaction in Poland, which was finalised on 23 July with the purchase of 100% of shares in Sparc Media sp. z o.o.
To secure financing for the global acquisition of Sparc Media and its further development on international markets, Pureprofile decided to carry out a public offering of shares on the Australian Stock Exchange (ASX), with the plan of raising 12.1 million dollars. This will allow the company to carry out further expansion and introduce programmatic advertising services to its offer.
Sparc Media was founded in 2004 and is an independent online and Trading Desk advertising agency which mainly specialises in data fuelled programmatic media buying across: display, mobile, social, video, native and rich media. The company has offices in Australia, New Zealand, the United States, Great Britain, India and Poland; it employs 50 highly qualified experts. Pureprofile was established in Australia in 2002 and over time it has gradually replaced telephone survey market research with online research. Since 2002, it has conducted over 300 million online questionnaires.
The transaction was handled by Marcin Kuliński from our Corporate and M&A Practice, who supervised the share sale, preparation of the documentation and negotiations of the transaction itself.
