On 14 October a strategic partnership agreement was signed by MEDCOM sp. z o.o. and Mitsubishi Electric Corporation (MELCO) under which MELCO is to invest and purchase a minority block (49%) of shares in MEDCOM. The investment is still awaiting Competition and Consumer Protection Office clearance. DZP advised MEDCOM and its shareholders, accompanying the client from the start of the negotiating process with the Japanese market leader in electrical and electrical equipment and power electronics. The two parties to the transaction both say that the alliance will enable them to achieve common growth and to further improve the solutions offered to clients in Poland and the rest of the world.

The client was advised by a team of lawyers in DZP’s Corporate and M&A Practice: Marek Świątkowski, Partner, Igor Barcew, Senior Associate, Paweł Pioruński, Senior Associate and Damian Szczygielski, Associate. The client was advised on competition law by Marta Balcerowska, Associate, and on tax issues by Joanna Wierzejska, Tax Partner, and Grzegorz Sprawka, Tax Manager.

Thanks to the co-operation with MELCO, MEDCOM is now planning further dynamic technological growth  by merging its own groundbreaking solutions with the capabilities of semiconductor components based on SiC (silicon carbide) technology produced by MELCO. Over the next few years, SiC technology is set to replace the silicon components that are currently the most popular. Closer co-operation with MELCO’s research laboratories will enable innovative solutions for design equipment to be introduced by the Polish company. MEDCOM will co-operate with MELCO on joint research and development projects and improve the group’s market position in Europe. The technical solutions offered by MEDCOM, particularly for light rail vehicles (trams) and equipment dedicated to modernised vehicles, supplement the products offered by MELCO, which has extensive experience in high-speed rail systems, underground trains and high power inverters. MEDCOM will also be able to supplement its rail propulsion systems with traction transformers and other complementary products offered by MELCO.
