British technology company Redgate Software, a global provider of Database DevOps solutions, has successfully expanded its portfolio with the advanced SaaS product Vertabelo Data Modeler. The transaction will enable the client to further strengthen its offering of data modelling tools for developers and IT teams worldwide.

As part of this international transaction, DZP experts advised Redgate Software on the acquisition of the product from the Polish company Vertabelo. The support included preparation of complete transaction documentation, conducting a detailed due diligence and active assistance to the client during negotiations. The Vertabelo Data Modeler is a Software as a Service platform that enables database structures to be designed, visualized and optimised in the cloud. Through the acquisition, Redgate has expanded its solutions to support developers in efficient and secure data management.

The project was supervised by Sylwia Kuca and Bartosz Marcinkowski from the Corporate and M&A Practice, supported by Marcin Kuliński, Hubert Kawałek, Daria Dudek, Maria Piechota and Mateusz Jankowski. In the area of intellectual property and new technologies law, the client was supported by experts from the IP&TMT Practice – Jarosław Konecko and Martyna Gruszka.

The advice was provided in cooperation with the renowned London law firm Mills & Reeve LLP, which enabled the legal requirements of both jurisdictions to be taken into account.
