The DZP team advised KB Components AB on the acquisition of 100% of the shares in Rabugino, a plastic injection moulding company based in Poland.

KB Components AB, a global manufacturer of advanced polymer components with production facilities in Europe, the Americas and Asia, has signed an agreement to acquire Rabugino, a plastic injection moulding company headquartered near Warsaw. Rabugino specialises in plastic injection moulding and primarily serves customers in the automotive sector, including BMW, Volvo, Volkswagen and Audi. The company employs approximately 150 people and operates 31 modern injection moulding machines.

The acquisition supports KB Components’ strategy to strengthen its European presence, consolidate production volumes and further develop relationships with key customers in the automotive, filtration technology and consumer goods industries.

DZP provided comprehensive legal support to KB Components throughout the transaction, including structuring, conducting legal due diligence, assisting with negotiations, as well as preparing transaction documentation and overall legal transaction management. The project was delivered by a multidisciplinary team supervised by experts from the Corporate and M&A Practice, Sylwia Kuca and Bartosz Marcinkowski, led by Daria Dudek, Marcin Kuliński and Dagmara Kajca-Szydło.

The transaction was signed in March and is expected to be completed within approximately two months, subject to customary closing conditions.
