DZP supported Neapco Holdings in its acquisition of IFA Group, a transaction strengthening the group’s global position in the automotive sector.
DZP advised Neapco Holdings on the Polish law aspects of its acquisition of IFA Group. The transaction, structured as an indirect acquisition governed by German law, marks a significant step in strengthening the buyer’s global footprint in the automotive driveline sector.
The combination of NEAPCO and IFA creates a global platform with expanded engineering and manufacturing capabilities across Europe, North America and Asia, supporting leading OEM customers and addressing evolving market demands.
DZP acted as local counsel to the buyer in relation to all Polish aspects of the transaction. The firm conducted legal due diligence of the Polish target company, advised on regulatory matters and successfully secured clearance from the Office of Competition and Consumer Protection, as well as providing ongoing support in connection with Polish workstreams.
DZP’s advice was provided by a multidisciplinary team from the Corporate and M&A and Competition practices. The project was led by Przemysław Lach (Senior Associate), under the supervision of Robert Niczyporuk (Partner), with support from Michał Kostka (Associate). The Competition team, responsible for merger control aspects, including obtaining clearance, was led by Piotr Gogol (Head of Competition Practice), supported by Jerzy Kapitańczuk (Senior Associate).
