A multidisciplinary team of DZP lawyers and tax advisers advised the existing shareholders and Zakłady Włókien Chemicznych “Stilon” S.A. on the sale of all shares in the company. The buyer is Anglés Textil S.A., a Spanish textile group whose operations focus on the production of synthetic yarn. Anglés Textil has production plants in Spain, Brazil and Mexico, and thanks to the acquisition of ZWCh Stilon, it gained a new production plant in Poland and reliable suppliers. This will enable it to further implement its development strategy.
We advised at all stages of the transaction, from negotiating the letter of intent to developing the transaction structure, supporting the company during the due diligence, drafting transaction documentation and conducting negotiations to closing the transaction.
The client was advised by DZP advisers: Marek Świątkowski, Partner, Joanna Fasula, Associate from the Corporate and M&A Practice, Joanna Wierzejska, Partner and Co-Manager, and Tomasz Leszczewski, Senior Tax Manager, from the Tax Practice oraz Bartosz Marcinkowski, Partner i Aleksandra Zomerska, Associate from personal data protection team.
