The reform of the Orlen Group's Constitution, developed by DZP, streamlines the management of the holding company and strengthens the integration of the companies in the group.
The reform of the Orlen Group's Constitution has strengthened the coherence and efficiency of the holding company's management, facilitating better coordination of the activities of the Group's Polish and foreign companies.
The Orlen Group's Constitution lays down the principles for integrated group management. DZP lawyers conducted a review of the Constitution and proposed that it be updated in line with changes to corporate law and taking into account best market practices. The review resulted in a proposal for reform and its implementation in the Orlen Group’s Polish companies and some of its foreign companies.
DZP experts supported the client throughout the process, from conceptual work, through presenting proposals for amendments to the Constitution to Orlen's governing bodies, to supporting the client in implementing the changes in the Orlen Group’s Polish companies and selected foreign companies.
The project was coordinated by Józef Palinka, Co-head of the Dispute Resolution Practice. The team leader and author of the concept for the reform of the Orlen Capital Group’s Constitution was Prof. Adam Opalski, Of Counsel in the Corporate and M&A Practice and specialist in company law and corporate governance. The team also included Przemysław Lach, Senior Associate in the Corporate and M&A Practice, responsible in particular for coordinating the work of the foreign law firms involved in the project and supporting the client in implementing changes in the Orlen Group’s Polish companies.
