  • Full professor of law and head of the Chair of Private International and Commercial Law at the Faculty of Law and Administration, University of Warsaw.
  • Expert in commercial law, private international law and civil law.
  • Specialises in company law with particular regard to corporate finance, corporate governance, corporate reorganizations, groups of companies as well as international and European company law.
  • Editor-in-chief and co-author of the leading commentary on the Polish Code of Commercial Companies, co-author of the parts of the "System of Private Law" devoted to commercial companies. Author of over 100 academic publications, including monographs on groups of companies, European company law, the supervisory board of a joint-stock company and the institution of share capital.
  • Advises on mergers and acquisitions, company reorganizations, corporate disputes and corporate governance issues, supports companies in preparing IPOs and obtaining financing.
  • Co-author of amendments to the Code of Commercial Companies devoted to the introducing og the simple joint-stock company as a new corporate in Poland, the introducing of cross-border mergers, the reform of the general meeting of joint-stock companies, the reform of the share capital of joint-stock companies, and of amendments to the Civil Code concerning commercial proxy.
  • Member of working groups: European Company Law Experts (2016 to date), European Model Company Act (2013 to date) and European Commission Informal Expert Group on Company Law and Corporate Governance (2020 to date).
  • Deputy chairman of a Committess at the Polish Ministry of Development for the preparation of draft regulations on the simple joint-stock company (2016-2018), member of the Company Law Committee to the Civil Law Codification Commission at the Polish Ministry of Justice (2006-2015).
  • Member of the Warsaw Bar Association of Attorneys-at-Law.
