DZP's experts advised at all stages of the transaction, from the acquisition of 100% of shares in the project company to project structuring and negotiation and finalisation of the loan documentation.

The Budimex Group, in cooperation with the Spanish Ferrovial, has secured financing for the development of a 59.99 MW photovoltaic farm in Wysoka Głogowska. This is a strategic step in achieving climate and energy transition objectives, and also an important stage in the implementation of the Budimex Group's business diversification strategy. The project financed by mBank S.A. is expected to enable the production of approx. 65 GWh of green energy per year – enough to power over 25,000 households.

DZP's lawyers provided comprehensive legal advice at all stages of this complex transaction: from selecting the financing bank through project structuring and negotiating the term sheet to finalising the loan documentation and security. This is the next phase in our law firm's involvement, following advice on the acquisition of 100% of shares in the project company.

The project is owned by BXF Energia, a joint venture between Budimex (51%) and Ferrovial. The firm has an ambitious goal: to build up a portfolio of 500 MW renewable energy installations, comprising photovoltaic and wind farms, within five years. The project in Wysoka Głogowska is a pilot project.

The transaction was coordinated by Magdalena Skowrońska, Partner in the Capital Markets and Financial Institutions Practice, with the support of Katarzyna Biarda, Tomasz Kalicki and Jan Poniatowski. Energy law aspects and earlier transaction advice were the responsibility of a team led by Marcin Krakowiak, Partner and Head of the Infrastructure and Energy Practice, supported by Anna Konopka and Bartosz Stań.
