DZP advises Dentsu Aegis Network on acquisition of Socializer group

DZP has advised Aegis Media (Central Europe & Africa) GmbH, a Dentsu Aegis Network group company, on the acquisition of a majority shareholding in the company Socializer SA, one of the largest and most dynamically developing social media agencies in Poland.

The Dentsu Aegis Network holding in Poland currently comprises 6 entities: the Carat and Vizeum media houses, the Posterscope Out-of-Home communication agency, the performance marketing agency iProspect, AMNET handling RTB/Programmatic Buying and the communication advertising agency Isobar (formerly Hypermedia Isobar). Socializer is known as one of the largest social media agencies in Poland. It employs 130 people in Warsaw and Bialystok and handles, e.g. Microsoft, Play and Lotos under its own brand. The Socializer group also owns the Lubię To and Socialformance brands.

As a result of the transaction, Aegis Media has acquired more than 2 million shares in the company representing approx. 98.98% of its share capital. The transaction value was initially over PLN 27.5 million. Initially, as its value could rise depending on the results achieved by Socializer in the years 2013-2017.

DZP's advisory to Dentsu Aegis Network included a legal due diligence of the Socializer group, development of a transaction structure and transaction documentation and providing support in negotiations and transaction settlement carried out through a brokerage house.
