At the beginning of May, Professor Adam Opalski joined DZP team. He will enhance our Corporate and M&A Practice as Of Counsel.
Adam Opalski is an attorney-at-law with over 20 years’ experience in commercial law, private international law and civil law. He specialises in company law with a particular focus on corporate finance, corporate governance, restructuring and international and European company law.
During his career, he has advised leading Polish and international companies, especially in the banking and insurance sectors, on mergers and acquisitions. He has also supported businesses in major corporate disputes and numerous arbitrations. He also has extensive experience in structuring initial public offerings (IPOs) and supporting debuts on the Main Floor of the WSE.
In addition, Adam Opalski is a professor of legal sciences and head of the Department of International Private and Commercial Law at the Faculty of Law and Administration, University of Warsaw. He is the author, co-author and editor of more than 100 academic publications on commercial law, including a leading commentary on the Code of Commercial Companies, “System Prawa Prywatnego”, a series on the private law system, and monographs on the law of groups of companies, European company law, the supervisory board of a joint-stock company, and the institution of share capital.
He also worked on the amendment to the Commercial Companies Code that introduced the institution of a simple joint-stock company into the Polish legal system. He has been repeatedly rewarded for his scientific achievements by the university authorities, the Minister of Science and Higher Education and the prestigious scientific publication “Państwo i Prawo”. He has received many awards from the university authorities and the Minister of Science and Higher Education for his scientific achievements. His habilitation thesis also received a distinction in the prestigious competition of the monthly magazine “Państwo i Prawo” organised by the Committee of Legal Sciences of the Polish Academy of Sciences. He also held scholarships from the Polish-American Fulbright Commission, the Max Planck Institute for Comparative and International Private Law in Hamburg, the Foundation for Polish Science and the Deutscher Akademischer Austauschdienst.

From 25 May 2018 the General Data Protection Regulation (GDPR) applies in Poland and other European Union countries. We would therefore like to give you several details on the subject of how DZP processes personal data.
The administrator of the personal data is Domański Zakrzewski Palinka Sp.k. (“DZP”; address: Rondo ONZ 1, 00-124 Warszawa). Data are processed for contact purposes and to impart information on changes to provisions and authority practices and on other issues, including events concerning day-to-day legal, economic and cultural issues, inter alia, by sending DZP newsletters. The above is carried out on the basis of legitimate interests, i.e. in accordance with art. 6(1)(f) of the GDPR. Data can also be processed where necessary for the conclusion or performance of a contract and for compliance with a legal obligation to which DZP is subject, i.e. pursuant to art. 6(1)(b) and (c) of the GDPR. Data can be transferred to entities with whose help DZP achieves the indicated aims, including entities maintaining IT infrastructure. Giving data is voluntary and in contractual relations is a requirement for concluding and performing a contract. It is possible to object to data processing, request access to, rectification and erasure of personal data or restriction of processing and data portability. Data are kept until an objection is made, and in contractual relations – throughout the term of the contract and thereafter for a period specified in provisions on archiving and limitations period for claims. Anyone has the right to file a complaint with the President of the Personal Data Protection Office.
